1. General Provisions
By engaging with IT Direct, the client explicitly waives their own standard terms and conditions, even if those were established after these terms and conditions of sale. Any derogation or modification to these terms must be expressly agreed upon in writing by both parties in advance to be considered valid.
2. Payment Terms
Unless otherwise specified on the invoice or purchase order, all invoices are payable within 21 working days.
Late Payments
In the event of non-payment by the due date, IT Direct reserves the right to charge a fixed interest rate of 10% on the remaining balance.
Suspension of Service
IT Direct is authorized to suspend the provision of any ongoing services without prior notice if payments are overdue.
3. Debt Recovery
If an invoice remains outstanding for more than sixty (60) days beyond the due date, IT Direct reserves the right to engage a third-party debt recovery agency. All associated legal expenses, collection fees, and administrative costs will be payable in full by the client.
4. Taxes and Withholding
In accordance with international legislation, certain countries may apply withholding tax at the source. Any such withholding is the sole responsibility of the client and must be paid to their respective tax authorities. The total amount invoiced by IT Direct must be paid in its entirety; our fees do not include local taxes or costs relating to the legislation of the client's country of residence.
5. Liability and Obligations
IT Direct undertakes to provide high-quality services in a timely manner according to agreed schedules. However, our obligations are defined as an obligation of means, not of results. IT Direct shall not be held liable for third-party claims or damages filed against the client by end consumers.
6. Claims and Complaints
To be admissible, any claim regarding goods delivered or services rendered must be notified to IT Direct in writing via recorded delivery to our registered office. This notification must occur within 8 working days of the delivery or completion of the service.
7. Governing Law
All contractual relations, agreements, and disputes between IT Direct and the client shall be governed exclusively by the Laws of Ireland. Both parties submit to the exclusive jurisdiction of the Irish courts.
